Reposting is operated by Sam Smartway Marketing Ltd, trading as "Reposting" ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Reposting web application, accessible at https://reposting.app (the "Service"). You are contracting with Sam Smartway Marketing Ltd.

By accessing or using the Service, creating an account, or connecting any third-party social media profiles, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

01Description of Service

Reposting is a social media management and content synchronization platform that allows users to connect social media accounts (including Facebook, Instagram, YouTube, and TikTok), import content, manage media queues, and schedule or publish content across connected social media channels.

02User Accounts and Eligibility

  • Age Requirement: You must be at least 18 years old or the age of legal majority in your jurisdiction to use this Service.
  • Account Registration: You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

03Third-Party Platforms and Integration

Reposting relies on Application Programming Interfaces (APIs) provided by third-party platforms, including but not limited to Meta (Facebook/Instagram), Google (YouTube), and TikTok.

  • Compliance with Third-Party Terms: By connecting any third-party social media account to Reposting, you agree to comply strictly with the terms of service and developer policies of those respective platforms: Meta Terms of Service & Developer Policies; YouTube Terms of Service & Google Privacy Policy; TikTok Terms of Service & Developer Guidelines.
  • Account Access & Permissions: You grant Reposting permission to access, read, store OAuth tokens, and publish media to your connected accounts as authorized by you through the OAuth consent process.
  • Third-Party Disconnections: You may revoke Reposting's access to your social media accounts at any time via your account settings or through the security settings of the respective third-party platforms.
  • API Availability: We are not responsible for service interruptions, API limitations, or policy changes made by third-party platforms that may affect Reposting's capabilities (e.g., rate limits, link-only posting restrictions, or API scope changes).

04Content Rights and Responsibilities

  • Your Content: You retain full ownership of all text, images, videos, audio, and media that you import, upload, or publish through the Service ("User Content").
  • License to Reposting: You grant Reposting a worldwide, non-exclusive, royalty-free license to host, store, transfer, display, perform, and reproduce your User Content solely to provide and operate the Service on your behalf.

Content Authority: You represent and warrant that:

  • You own or possess all necessary rights, licenses, and permissions to publish and distribute your User Content across connected platforms.
  • Your User Content does not infringe upon any copyright, trademark, privacy right, or intellectual property right of any third party.
  • Your Content complies with all applicable local, national, and international laws and does not violate the community guidelines of connected platforms.

05Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using the Service to send spam, unauthorized advertisements, or bulk automated messages.
  • Re-uploading or distributing copyrighted content without the express written permission of the content owner.
  • Impersonating any person or entity, or misrepresenting your affiliation with a person or entity.
  • Attempting to reverse engineer, decompile, or compromise the security of the Reposting platform.
  • Using the Service for any unlawful or deceptive purpose.

We reserve the right to suspend or terminate your account immediately without prior notice if you violate these rules or the terms of any connected social media platform.

06Payments, Subscriptions and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

  • Plans and billing: Paid plans are billed in advance on a monthly or yearly basis and renew automatically until cancelled. Applicable taxes are calculated and collected by Paddle at checkout.
  • Trials: Where a free trial is offered, your plan converts to a paid subscription at the end of the trial unless you cancel before it ends.
  • Cancellation: You may cancel at any time from the Billing page in your account. Access continues until the end of the current billing period.
  • Refunds: We offer a 30-day money-back guarantee. See our Refund Policy for details and how to request a refund.
  • Buyer terms: Payment, billing, tax, cancellation and refund mechanics are additionally governed by the Paddle Checkout Buyer Terms.

07Suspension and Non-Payment

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment of fees, suspected fraud or security risk, or repeated or serious violations of these Terms or the policies of connected social media platforms.

08Intellectual Property

The Service, including its design, code, logos, icons, graphics, and trade names, is the exclusive property of Reposting and its licensors. Nothing in these Terms grants you a right or license to use any trademark, brand logo, or trade name owned by Reposting without our prior written consent.

09Limitation of Liability & Warranties

  • "AS IS" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
  • No Guarantee of Success: We do not guarantee uninterrupted uptime, immediate publishing delivery, or specific engagement outcomes on your social media accounts.
  • Limitation of Damages: To the maximum extent permitted by law, Reposting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, account suspension by third-party platforms, or business interruption.

10Termination

We reserve the right to terminate or suspend your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Upon termination, your right to use the Service will immediately cease, and any stored access tokens associated with your third-party social media accounts will be deleted.

11Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when posted. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.
